These Invitee Terms and Conditions (these “Invitee Terms”) govern your access to and use of VNOX-managed advertising accounts, Business Manager assets, ad platform logins, connected communication channels, and related account-facing interfaces (collectively, the “Invitee Accounts”) that are provided through VNOX Media’s platform (the “Service”).

Who we are. The Service is provided by VNOX Media (“VNOX,” “we,” “us,” or “our”).

Acceptance. By clicking “Accept,” “Join,” “Continue,” responding to onboarding communications, or otherwise using or interacting with an Invitee Account or account-facing communication enabled through the Service, you agree to these Invitee Terms.

If you are using an Invitee Account on behalf of an organization, you represent that you have authority to accept these Invitee Terms on its behalf.

1. Definitions

• “Customer” means the VNOX customer (e.g., the advertiser, agency, brand, or organization) that requested, purchased, or was assigned the Invitee Account you are using or interacting with.
• “Invitee” means an end user, admin, editor, team member, or other authorized third party who is granted access to an Invitee Account to run campaigns, manage assets, communicate with, or otherwise interact with a Customer’s advertising setup through the Service.
• “Customer Personal Data” means the personal data you submit through, or that is collected, received, generated, or processed in connection with, a Customer’s VNOX-hosted ad account, Business Manager, connected communication channel, or related workflow. This may include information required to manage an account, contact details, communications, payment references, campaign performance data, and related metadata.
• “Invitee Account” means any advertising account, Business Manager, ad platform login, or related digital asset provisioned or managed by VNOX Media and to which an Invitee is granted access.
• “Platform” means any third-party advertising network connected to an Invitee Account, including Meta (Facebook), Google Ads, and Snapchat.

2. Eligibility

To become an Invitee and receive access to any Invitee Account, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction;
• Have the legal authority to enter into a binding agreement on your own behalf or on behalf of the Customer you represent;
• Provide accurate, current, and complete information when requested, including business details, contact information, and identity verification where applicable; and
• Comply with all applicable Platform policies relevant to the assigned Invitee Account.

VNOX reserves the right to refuse, suspend, delay, or revoke access at its sole discretion, at any time, if these eligibility requirements are not met or are later found to have been misrepresented.

3. Access and Use of Invitee Accounts

3.1 Permitted Use

Invitee Accounts remain the property of VNOX Media or its partners at all times, regardless of the duration or scope of access granted to an Invitee. As an Invitee, you agree to:

• Use the Invitee Account solely for legitimate advertising purposes on behalf of the Customer;
• Follow all Platform-specific advertising policies, including but not limited to Meta Advertising Policies, Google Ads Policies, and Snapchat Advertising Guidelines;
• Avoid uploading or promoting prohibited, restricted, or misleading content; and
• Maintain the confidentiality of login credentials, verification codes, and account details at all times.

3.2 Restricted Actions

You must not attempt to transfer, resell, or share access to an Invitee Account with any party not explicitly authorized by VNOX Media, nor attempt to bypass or circumvent any access controls placed on the account.

4. Prohibited Activities

The following actions are strictly prohibited while using any Invitee Account:

• Running fraudulent, deceptive, or scam advertising campaigns;
• Promoting illegal products or services under applicable law;
• Attempting to bypass, manipulate, or exploit Platform algorithms or verification systems;
• Sharing account access with individuals not explicitly authorized by VNOX Media; and
• Engaging in activity that results in policy violations, account flags, or Platform-level bans.

5. Payments and Fees

Where applicable, fees for Invitee Account access, daily spend limits, or related services are agreed upon separately between VNOX Media and the Invitee prior to account provisioning. All payments are non-refundable once account access has been granted, except where required by law or explicitly stated otherwise in a separate agreement.

6. Reporting and Communication

Invitees are expected to promptly report any unusual account activity, unauthorized access, restrictions, or performance issues to VNOX Media as soon as they are noticed. Timely communication allows VNOX Media to take corrective action where possible and helps protect the account for all parties involved.

7. Account Bans, Restrictions, and Liability

Platforms (Meta, Google, Snapchat, etc.) may independently restrict, flag, or ban accounts based on their own policies and enforcement systems. While VNOX Media takes reasonable steps to provide stable and compliant account access, we do not guarantee uninterrupted account availability. VNOX Media is not liable for:

• Losses resulting from Platform-initiated account restrictions or bans;
• Ad spend, campaign data, or creative assets lost due to account suspension; or
• Indirect, incidental, or consequential damages arising from account use.

Invitees use provided Invitee Accounts at their own risk and are encouraged to follow Platform guidelines closely to minimize the likelihood of restrictions.

8. Confidentiality

Any credentials, account structures, internal processes, or business information shared by VNOX Media with an Invitee must be kept confidential and must not be disclosed to third parties without prior written consent.

9. Termination of Access

VNOX Media reserves the right to suspend or terminate an Invitee’s access to any Invitee Account at any time, with or without cause, particularly in cases involving policy violations, suspected fraud, non-payment, or breach of these Invitee Terms and Conditions.

10. Changes to These Invitee Terms and Conditions

VNOX Media may update or modify these Invitee Terms and Conditions at any time. Continued use of any Invitee Account or Service after changes are published constitutes acceptance of the revised Invitee Terms and Conditions. We recommend reviewing this page periodically.

11. Governing Law

These Invitee Terms and Conditions shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Invitee Terms and Conditions shall be resolved through good-faith negotiation between the parties wherever possible.
